Recently, AllBright Law Offices represented an international bank syndicate as the leading counsel and PRC legal counsel, working in collaboration with legal counsels in the United Kingdom and Portugal, in a USD 450 million equivalent syndicated loan facility extended to Haitong Bank S.A., a wholly-owned overseas subsidiary of Guotai Haitong Securities Co., Ltd. (“Guotai Haitong”).  AllBright provided comprehensive and professional legal services for the transaction.

This syndicated loan, guaranteed by Guotai Haitong, involves multi-jurisdictional coordination and complex cross-border guarantee arrangements.  Leveraging its extensive experience in cross-border financing, foreign debt management, and cross-border guarantees, AllBright was deeply involved in negotiations, documentation, and compliance reviews, and provided practical legal advice to the client on critical issues arising under PRC law.  Focusing on key regulatory matters including external guarantee requirements of listed companies, cross-border guarantee filing and registration, and foreign exchange compliance, AllBright assisted the client in effectively identifying and managing relevant legal risks, ensuring the smooth progress and compliant implementation of the financing transaction.
